1. Acceptance of Terms
By accessing or using https://codeblux.com (the "Site") or procuring services from Codeblux ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to all of these terms, you are expressly prohibited from using the Site and our services.
2. Scope of Engineering & Technology Services
Codeblux provides technology consulting, custom software development, offline/local AI agent integration, Web3/blockchain integration, mobile app development, custom printed circuit board (PCB) design, microcontroller firmware development, and hardware prototyping. Specific project deliverables, payment schedules, and performance metrics are defined in individual statements of work (SOW) or client service agreements.
3. Intellectual Property Rights
Our Content: Unless otherwise indicated, the Site, code, design, artwork, graphics, text, and logos (including the Codeblux trademark) are owned by or licensed to Blue Horizon Traders and are protected by applicable intellectual property laws.
Client Work Product: Ownership of custom source code, hardware schematics, PCB board designs, and proprietary assets compiled specifically for a client will be transferred upon full settlement of all contractual invoices, subject to the terms of the specific client engagement agreement.
4. Hardware Prototyping & Embedded Firmware Disclaimer
While Codeblux follows rigorous physical and electronic engineering standards:
Pre-production hardware components, custom ESP32/ARM PCBs, microcontrollers, and experimental firmware are provided for evaluation, testing, or targeted industrial deployment as agreed in your specific project scope.
Clients are responsible for ensuring final hardware assembly complies with local electrical safety, RF emissions, and regulatory standards (e.g., CE, FCC, BIS) prior to mass commercial distribution, unless compliance testing services are explicitly contracted.
5. AI Deployments & Autonomous Agents
For projects involving artificial intelligence, local LLM runtimes, and autonomous agent systems:
AI outputs are non-deterministic. While we implement strict guardrails and offline architectures, Codeblux does not guarantee that local AI agent outputs will be error-free in 100% of scenarios.
Clients maintain sole operational responsibility for verifying critical decisions generated by deployed AI code or autonomous agent workflows within their internal business operations.
6. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Codeblux, Blue Horizon Traders, its directors, employees, or partners be liable for any indirect, consequential, incidental, special, or punitive damages—including lost profits, lost data, hardware failure, or business interruption—arising out of or related to your use of our website, software, embedded devices, or engineering services. Our total liability for any direct claims shall not exceed the total fees paid by you to Codeblux for the specific service giving rise to the claim.
7. Warranties Disclaimer
All information on the Site and default code samples are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Our website or integrated solutions may link to third-party services, public Web3 RPC nodes, or external repositories. We do not control or assume responsibility for the content, privacy policies, or practices of third-party websites or blockchain networks.
9. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any legal action or proceeding arising out of these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.
